Content License Agreement
Any Family Office Exchange content provided or downloaded through the Family Office Exchange Knowledge Center, including, without limitation, all downloadable publications, hard copy print publications, and streaming media (the “Licensed Content”) is licensed to you by Family Office Exchange (“FOX”), and is provided to you on an “AS IS” basis for your use subject to the terms and conditions of this Content License Agreement (the “Agreement”). Please read this Agreement in full before downloading or using the Licensed Content.
By downloading or using the Licensed Content, you acknowledge that you are bound by and subject to the provisions of this Agreement (as amended from time to time) and the Family Office Exchange Visitor Agreement (as amended from time to time), available on or through https://www.familyoffice.com/terms-and-conditions.
In addition, you specifically acknowledge and agree that FOX does not assume any responsibility or liability for any information contained in the Licensed Content. FOX does not guarantee the accuracy of or endorse the views or opinions given by any third party in the Licensed Content. FOX shall not be liable for any errors, inaccuracies or delays in such Licensed Content, or for any actions taken in reliance thereon. Nothing contained in the Licensed Content should be interpreted as a recommendation or endorsement by FOX that you should make any purchase or sale or participate in any transaction, or hire any investment advisory firm.
FOX Member Licensee Rights
If you are a FOX member (a “Member Licensee”), FOX grants you, subject to the terms and conditions of this Agreement, a limited, non-exclusive, non-transferable, right and license to access and view the Licensed Content. As a Member Licensee, you may distribute the Licensed Content solely to other individuals of your FOX member organization.
Non-Member Licensee Rights
If you are not a FOX member (a “Non-Member Licensee”), FOX grants you, subject to the terms and conditions of this Agreement, a limited, non-exclusive, non-transferable, right and license to access and view the Licensed Content. As a Non-Member Licensee, you may not distribute the Licensed Content to any other individual without prior written permission from FOX. If a Non-Member Licensee wishes to distribute the Licensed Content, it must contact FOX and request permission to distribute the Licensed Content to additional authorized individuals.
Restrictions on Use of Licensed Content
You may not copy, modify, create derivative works of, publicly display or perform (electronically or otherwise), distribute, or make any commercial use of any of the Licensed Content, except as expressly permitted under this Agreement.
Citation
You may reference information contained in the Licensed Content in another work as long as FOX (or its licensor, if applicable) is cited as the copyright owner of this information in your work. An authorized citation must include the FOX document title, publication date, and Copyright © Family Office Exchange in close proximity to the location of the cited FOX information in your work. You are encouraged to include a link to the document on the FOX website if you are quoting the material on a website.
Ownership
The license granted herein gives you a limited license to use the Licensed Content. As between you and FOX, FOX retains all right, title, and interest, including all copyright and intellectual property rights, in and to the Licensed Content and all copies thereof. All rights not specifically granted in this Agreement are reserved by FOX.
Violation of this Agreement
Your unauthorized use or distribution of the Licensed Content constitutes copyright infringement and breach of this Agreement, and shall entitle FOX to exercise all rights and remedies available under applicable law, including, without limitation, the right to seek monetary damages and injunctive relief. The foregoing is not a limiting statement of FOX’s rights or remedies in connection with any unauthorized use of the Licensed Content, or breach of this Agreement. The waiver or failure of FOX to exercise any right provided for herein will not be deemed a waiver of any further right hereunder. Miscellaneous
This Agreement constitutes the entire agreement between FOX and you with respect to the subject matter hereof and supersedes all previous and contemporaneous agreements, proposals and communications on this subject, whether written or oral. This Agreement is personal to you, and is not intended to benefit any third party. You may not assign this agreement to anyone. If any term shall be held unenforceable, such term shall be deemed restated, in accordance with applicable law, to reflect as nearly as possible the original intentions of the parties, and the remainder of this Agreement shall remain in full force and effect. This Agreement shall be interpreted and construed according to, and governed by, the laws of the State of Illinois, without regard to its conflicts of laws rules.
