FAMILY OFFICE EXECUTIVE / CHIEF INVESTMENT OFFICER

CLIENT Our client family is headquartered in the Napa Valley and is a well-established single-family office serving four households. The family spans three generations - (G1) matriarch/wealth owner, hereinafter “Principal”; (G2) her three adult children, two of whom are married; and (G3) five grandchildren. The family’s wealth originated from a highly successful wine business, and more recently from private equity and real estate investments. This is first generation wealth created by a driven, entrepreneurially spirited, wine industry visionary (now deceased). The family currently holds a variety of entities including vineyards and a winery, trusts, commercial property, personal residences, and a private family fund that supports the family’s philanthropic initiatives. The geography of the family covers the North Coast wine country and Seattle areas. The Family Office Executive/Chief Investment Officer (“FOE/CIO”) position will support the family to oversee a diverse set of interesting and complex business and personal family interests, and provide the critical operational, financial management and investment oversight to help manage these interests. In addition to the family office team, currently four employees/consultants, the family utilizes a small group of trusted and proven external resources and consultants as needed including vineyard consultants and managers, investment advisors, attorneys, and CPAs. OPPORTUNITY Reporting to the Principal, the FOE/CIO will work collaboratively with the existing family office team, that is functioning very well day-to-day but would benefit collectively from some ongoing oversight and/or strategic leadership. In addition to supporting the family office team, this role will act as a quarterback in overseeing and through influence, the family’s varied business, investment, and personal interests. Equally important will be the “business partner like” role that this individual will cultivate with the Principal…serving as her business confidant; trusted advisor; investment counselor; sounding board; risk manager; and “co-pilot” to make sure that things go smoothly in her absence. The FOE/CIO will initially work closely with the Principal to tailor a personal service delivery approach that supports an effective and productive working relationship that best serves her respective information, operational, and decision making needs. In addition, there are family succession planning and generational transition initiatives that will need to be addressed that involve both multi-generational family considerations as well as human capital planning for the family office team. Much of this role is about strategic leadership, mentoring and educating as this individual will be working collaboratively with the family and family office team to continue to improve the service delivery model of the family office structure; to deepen the education experience for the younger family members relative to sound business practices, wealth management and stewardship; and to insure the core values of the family office are strengthened. Having come from humble beginnings, the Principal – a passionate and active impact investing pioneer - sees herself as a temporary steward of wealth that will eventually be returned to society. Her stated mission is to grow the assets of the family office in a way that, at a minimum, respects people and planet, and at best, solves environmental, social, economic and health problems by funding conscious companies and social ventures. The FOE/CIO will play a critical role in support of this important mission. Finally, in addition to operational, financial, managerial and investment leadership experience, the family is seeking a FOE/CIO who aligns with their core values and can help to support and maintain these values throughout their related organizations. POSITION SUMMARY The FOE/CIO will work collaboratively with the family members and family office team to solidify the vision for the family office, the impact investing initiatives, as well as the strategic and operational infrastructure for the family entities. The individual will strive to instill a “best practices” philosophy in all functional areas in order to improve workflow, simplify reporting procedures, and enhance service delivery to the family. Family Office Management • Oversee the day-to-day operations of the family office including treasury, budgeting, tax, accounting, forecasting, insurance, and human resources. • Establish credibility throughout the family office, business operations and with family members as an effective developer of solutions to operational and business challenges. • Provide strategic financial input and leadership decision making on issues and/or initiatives impacting the organization and/or the investments. • Hire, manage and mentor staff as needed. Also, develop a plan for ongoing professional development of the staff and provide cross-training opportunities to insure flexible staffing. • Plan and facilitate periodic meetings with the Principal, family members and appropriate advisors, including preparation of meeting materials. Tax/Estate Planning and Compliance • In conjunction with the controller, serve as liaison with external tax advisers. This includes working with external tax advisors on an ongoing basis regarding tax planning strategies integrated through multiple jurisdictions in which the family is active. • Provide ongoing support for tax reporting and compliance for family members, trusts and other legal entities as needed. • Provide ongoing support and serve as liaison as needed for estate planning matters and trust administration. Discuss and develop estate planning ideas on an ongoing basis with external advisors and work with estate planning attorney to execute approved suggestions. Investment Management • Work collaboratively with the Principal, family members, family office team and external advisors to insure sound investment and portfolio management practices that support the long-term growth and sustainability of the investment portfolio. • Provide guidance and suggestions to the family, as needed, to help ensure wise long term management of the family’s wealth; and participate in periodic family investment meetings along with Principal and outside advisors as needed. • Develop a dashboard and other meaningful reporting across the investment portfolio to keep the Principal apprised of investment performance, and potential current and future impacts to investments and cash flow. • Provide oversight across the broader investment portfolio including, but not limited to, liquid assets, the winery and vineyard operations, real estate, co-investments, direct investments, etc. • Develop an in-depth understanding of the Principal’s current investment philosophy, vision and strategy and collaborate closely with the Principal on an ongoing basis in setting investment strategy that is aligned with these objectives. • Drive the development of a decision framework for investments that can support an efficient and sound execution of the overall investment strategy. • Given the entrepreneurial nature of the Principal, develop and share investment ideas that capitalize on market opportunities and fulfill the mission-based orientation of her vision. • Sourcing – develop and maintain a higher quality and a more consistent level of deal flow by developing a broader network to source new investment opportunities. • Due diligence – develop a more disciplined and sophisticated due diligence process to vet deals including research, analytics, and developing performance criteria to support evaluation of investment decisions. Lead business assessment; evaluate management teams of potential company investments; analyze market size, growth drivers, and market share; analyze competitive landscape and technologies; assess social and/or environmental impact of core business. • Structuring – structure, negotiate and execute transactions across a range of structures; lead financing process including lender materials, term sheet, and credit agreement; perform deal documentation and negotiation: Indication of Interest (IOI), Letter of Intent (LOI), Term Sheet, Stock Purchase and Credit Agreements. • Portfolio Management – monitor and assist portfolio companies and serve as Board Observer or Board of Director as needed; provide strategic advice on acquisitions and divestitures (identification, negotiation, financing, execution); market intelligence (new products, markets, geographies, partnerships, distribution channels); financial management (metrics, key performance indicators (KPIs), cost reductions; assist in key human capital initiatives as needed; participate in governance as needed: reporting, monthly updates with portfolio company CEOs/CFOs. Financial Management and Reporting • Work collaboratively with the family, controller, tax advisors and investment advisors to assess the accounting and financial reporting structure, articulate current and anticipated reporting needs, make recommendations for improvement, and oversee the implementation of the same. • As needed and in collaboration with the family office team, provide financial analysis, modelling, and/or projections for project or planning initiatives for family members. • Provide periodic financial reporting including income, expense and cash reports, analysis and forecasts for the residences, investments, and/or special projects as needed. • Assist family members with insurance, home purchases and renovations, property management and other areas as needed. Human Resources Responsibilities: • Work in collaboration with the family and family office team to oversee the following for the family office: o Employment practices – policies and procedures o Compensation and employee benefits o Recruiting functions including job descriptions, hiring, and on-boarding Legal and Risk Management • Work with legal counsel on structures, transactions and planning on various issues and outstanding legal settlements as needed. • Evaluate, strengthen and periodically review the internal control environment to ensure appropriate processes and procedures are in place to safeguard the integrity and security of all critical functions including financial management, investments, and cash. • Evaluate and periodically review insurance policies to assure that appropriate types and levels of coverage are in place given the evolving needs of the family, including review of family member real property and trust holdings to determine proper coverage levels. Philanthropy / Donor Advised Fund • Work collaboratively with the family to support and advise on philanthropic initiatives. • Key areas of collaboration and support may include, but are not limited to: o Ensuring compliance with relevant laws and regulations; o Review accounting, reporting and compliance processes and procedures to ensure that effective internal controls are in place and make suggestions as appropriate; o Review the financial and investment reports and make suggestions as appropriate; o In collaboration with outside investment advisor, review portfolio performance, allocation, and investment strategies. General Administration • Manage relationships with, and oversee the activities of, outside professionals and service providers as appropriate including their associated budgets. • Develop and maintain effective and secure business systems, and work with IT service provider to provide safe, secure, and effective information technology systems. DESIRED CANDIDATE The ideal candidate will be a discreet, self-driven family office executive with broad business management and investment experience. The ideal candidate will possess the following qualifications/characteristics: Skills and Experience: • Bachelor’s degree with a minimum of 15-20 years of relevant experience. • MBA designation highly preferred, CFA or CFP desirable. • Law degree or legal background strongly preferred. • Strong leadership experience in working with high net worth individuals and/or family businesses, including experience working with and supporting a family through a generational transition of wealth and/or business interest. • Exceptional understanding of and familiarity with best practices in a family office environment related to decision making, governance and operational structures. • Strong experience in investment management including at least 5 years of working with firms in venture capital and/or private equity. Must have a strong technical foundation for investment analytics and solid knowledge in venture capital and private equity investments. • Solid technical accounting and financial reporting skills including the ability to aggregate, translate, and report on financial information; and to develop meaningful and effective financial reporting and forecasting processes, reports, and systems. • Solid experience in strategic planning, budget preparation and cash flow planning. • Practical experience in recruitment, selection, supervision, and development of professional and support staff is essential. • Experience in real estate management including acquisition, disposition, and maintenance. Essential Characteristics: • A creative visionary with the ability to play a key role in the operational, financial, and strategic leadership, direction, and vision of the family office as it evolves over time. • Must be able to have good judgment on what is being said and know how to respond appropriately…from listening to agreeing to deferring to disagreeing. • Ability and willingness to be both “hands-on” and to “delegate when appropriate” in the day-to-day family office operations. • Must be comfortable in a boutique, professional office model where everyone is responsible for their respective tasks and getting things done is the standard. • Must have an uncompromising commitment to “service excellence” and be able to deliver this outcome across a variety of family entities and interests on a continuous and consistent basis. • Must have exceptional emotional intelligence and be a highly skilled communicator and facilitator; with the ability to effectively communicate complex concepts and strategies in a clear and concise manner to a variety of audiences. • Must be self-confident, knowledgeable, and able to exercise sound judgment in conducting research, analysis and decision making. • Must exercise sound judgment in assessing when responsibilities should be outsourced to existing/new service providers/advisors or be done internally, including assessing service providers on an ongoing basis to ensure they are acting in the best interest of the family. • Must consistently operate in a transparent and collaborative manner with a “team first” approach. • Must possess a strong understanding of – and appreciation for – how technology can be used effectively to improve operational efficiency. • Must be highly organized and able to manage multiple priorities simultaneously. • Must be proactive, have a strong sense of urgency, and be comfortable with change. • Must be a confident, self-directed problem solver. • Must be willing to travel as needed. • Must have integrity and be approachable, respectful and instill confidence and trust in their ability to handle complex and sensitive financial and personal information both internally and externally. LOCATION • Napa Valley REPORTS TO • This position will report to the Principal and serve all the family members. COMPENSATION • An excellent compensation package will be designed to attract an outstanding individual, including relocation as needed.
