Overview of the Company:

AFO Capital, Ltd. (“AFO”) is the family office for a Fort Worth-based family which was founded in 2007 when the family’s business was sold.  The office is responsible for providing investment management, wealth management and other related services to the members of the family, their various investment partnerships and trusts, and their private foundation (the “family office clients”).  Some of the key functions of the office include: investment and portfolio management; accounting, record keeping and financial reporting; coordination of tax planning and trust and estate planning; and coordination of charitable activities.

 

AFO’s investment and portfolio management program consists of: (1) allocations to outside investment managers focused on fixed income, domestic equities, international equities, credit, private equity, venture capital, natural resources, and other private markets; (2) direct investments in real estate; (3) co-investments alongside AFO managers; and (4) tactical allocation decisions at the asset class level.

 

Overview of the Position:

AFO is seeking a legal and operational professional to support the investment management, accounting, tax, trust and estate, and general functions of the office.  This position will be directly responsible for the management of all legal, governance, and compliance processes within the office and for all family office clients.  They will create and implement operational policies, procedures, and controls to ensure the effective and efficient operation of the office with a focus on continuous improvement and risk management.

 

Responsibilities:

Specific responsibilities include, but are not limited to:

  • Review legal documents for new investments in funds as part of the due diligence process, providing feedback to the investment team on key terms, legal risks, tax consequences, and suitability of structure.  Assist in operational due diligence, as needed.
  • Complete subscription documents for new fund investments, including upfront and ongoing KYC/AML requests and other compliance and regulatory matters.
  • Support the investment team in negotiating and drafting side letter agreements with external managers.
  • Maintain a schedule of key terms for each investment, including any terms included in side letter agreements, and monitor compliance with all terms.
  • Support the Director of Real Estate with the legal aspects of the acquisition and ongoing management of direct real estate investments.
  • Review and complete all banking agreements and related documents and ensure legal compliance of all checking, brokerage, investment management and credit accounts.
  • Create and maintain a document management system for all executed legal agreements using the office’s research management database (Tamale).
  • Establish new entities and winddown entities, as needed, and ensure corporate formalities are observed and maintained for all family legal entities.
  • Oversee all risk management functions in the office and maintain appropriate insurance policies for the office and the family’s activities.
  • Work in collaboration with the CEO to oversee human resources activities, including employment policies and procedures, employment agreements, incentive compensation plans and employee benefits.
  • Oversee third-party IT service provider and implement policies and procedures to ensure proper usage and maintenance of hardware and software and appropriate data security.
  • Support the CEO and Director of Accounting in trust and estate matters for the family, including trust administration.
  • Review contracts, proposals, engagement letters, etc. with external vendors, contractors, and other providers for a variety of services and engagements.
  • Engage and manage outside counsel, including setting and monitoring engagements, budgets, billings, evaluating existing relationships, making new legal provider recommendations, and actively managing cost controls and service efficiencies.

 

Education and Experience Qualifications:

  • J.D. from an accredited law school
  • CPA license a plus but not required
  • Ten years of experience practicing law within a law firm or as in-house counsel at a financial institution, investment management firm, or similar organization.
  • Experience working with private equity, hedge fund or real estate investments a plus.
  • Deep knowledge and experience of contract law. Knowledge of legal matters related to tax and estate planning a plus.
  • Strong communication skills and ability to present complex and/or comprehensive information in summary form.
  • Strong computer skills, especially with Microsoft Office programs; a willingness to learn other software programs used by the office.

  • Diplomatic, tactful, and discrete concerning confidential information.  Must demonstrate unquestioned integrity at all times.

 

Status:  40 hours per week, fewer will be considered
