Many of the wealthiest and most sophisticated families are reconnecting to their family roots in entrepreneurship and are investing in, and managing, direct investments using thoughtfully designed trusts and private trust companies.
 
In this program we will explore how trusts and private trust companies can be designed in tandem to enable an affluent family to manage direct investments in operating businesses and real estate. We will also discuss considerations for designing new trusts and changing existing trusts to adopt elements necessary to enable direct investments. We'll then review examples of private trust company structures and trust structures used by family offices who are active direct investors.

    Todd D. Mayo is a principal and general counsel of Perspecta Trust. Todd works with clients in designing and implementing trust and wealth strategies, and he oversees legal matters for the company.

    Before joining Perspecta Trust, Todd was a partner in Cleveland, Waters and Bass. He previously was president of Cambridge Trust Company of New Hampshire and a senior vice president of Cambridge Trust Company. He had earlier practiced trust and tax law with Cleveland, Waters and Bass.

    Todd actively participates in legislative and regulatory initiatives to enhance New Hampshire’s position as a leading jurisdiction for trusts and trust companies. He is the principal author of several portions of New Hampshire’s trust laws. As a member of a public-private working group that revised the state’s banking laws, he was a principal author of the New Hampshire Trust Company Act and the New Hampshire Family Trust Company Act. He is the principal author of the New Hampshire Foundation Act. With the enactment of the Foundation Act, New Hampshire became the first state to allow the formation and domestication of civil-law foundations.

    Todd is a member of the Society of Trust and Estate Practitioners, a former president of the New Hampshire Trust Council, and a former chair of the New Hampshire Bankers Association’s Trust Committee.

    Todd is the author of New Hampshire Trust Laws: Statutes and Commentary (now in its third edition), an annotated reference on the state’s trust laws, and he is the author of a chapter on trust design in The Private Wealth & Private Client Review (Sixth Edition).

    Todd earned a B.A. in economics and history from Georgetown University, a J.D. from the University of California Hastings College of the Law, and an LL.M. (Taxation) from the University of Florida.

    As Chief Fiduciary Officer and Chief Operating Officer, Mr. Tall oversees all client service and operational aspects of the firm, focusing on client support, technology, administration and operational efficiency. Mr. Tall joined Perspecta from Acadia Trust, where he served as president and CEO. Prior to joining Acadia, Mr. Tall was a senior executive of a family office for a prominent Texas family. Before joining the family office he held senior positions at Fiduciary Trust Company International, including chief administrative officer, chief technology officer and chief compliance officer. Prior to his time at Fiduciary Trust, Mr. Tall was an associate partner at Accenture, where he led international financial services client engagements in technology and operations consulting and outsourcing.

    Mr. Tall received a BA in Economics from Trinity College, is a member of the Society of Trust and Estate Practitioners, and is a Certified Trust and Financial Advisor designation holder. He serves as a Trustee of the Penobscot Marine Museum in Searsport, ME and of SailMaine in Portland, ME.
